Terms and Conditions For ReSellers

1. Definitions

• “Company”, “we”, “our”, or “us” refers to [Your Business Name].

• “Customer”, “you”, or “your” refers to any individual, reseller, or business purchasing products from us.

• “Products” refers to all garments, sportswear, or items manufactured and supplied by us.

2. Orders and Payment

1. All orders must be confirmed in writing (including email or signed quotation).

2. A 50% non-refundable deposit is required before production begins, unless otherwise agreed in writing.

3. The balance of payment is due prior to delivery or collection, unless approved credit terms are granted.

4. Failure to pay the balance within the agreed time frame will be considered a breach of contract.

3. Retention of Ownership

1. Ownership of all Products remains with the Company until payment has been received in full.

2. Until ownership transfers, the Company reserves the right to repossess the Products without notice.

3. If Products are delivered to a third party (e.g., a reseller’s customer) before full payment is made, the Customer remains fully liable for payment.

4. The Customer may not resell, pledge, or transfer ownership of the Products until full payment is made.

4. Delivery and Risk

1. Risk of loss or damage passes to the Customer on delivery or collection.

2. Delivery dates are estimates only. While we strive to meet deadlines, the Company is not liable for delays beyond our control.

5. Returns and Refunds

1. Due to the custom nature of our Products, no returns or refunds will be accepted unless the Products are defective or incorrectly supplied.

2. Any defects must be reported in writing within 7 days of delivery.

6. Default and Remedies

1. If the Customer fails to pay the balance owing, the Company may:

   • Suspend further deliveries;

   • Repossess Products not fully paid for;

   • Charge interest on overdue amounts at prime + 2% per annum;

   • Recover all legal costs, collection fees, and attorney costs on an attorney-and-client scale.

2. The Company reserves the right to pursue legal action for recovery of outstanding debts.

7. Limitation of Liability

1. The Company shall not be held liable for any indirect, incidental, or consequential damages arising from the supply or use of the Products.

2. Liability is limited strictly to the replacement of defective Products or refund of the purchase price (at the Company’s discretion).

8. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.
